1. Acceptance of Terms

By downloading, installing, accessing, or using PPI Measure (the "App") and any associated website or services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Services.

These Terms apply to users worldwide, including but not limited to users in the United States, Canada, Indonesia, and Malaysia, and are designed to comply with applicable laws in these jurisdictions.

2. Description of Services

PPI Measure is a mobile application and web platform serving the recycling, paper, and cardboard industries. The Services include several features that may be enabled, disabled, or modified over time:

•      Material Inspection: AI-driven measurement and analysis of recycled materials, including but not limited to Old Corrugated Cardboard (OCC), Low-Density Polyethylene (LDPE), and pallet materials. The AI estimates levels of Non-Fibrous Content (NFC), moisture content, outthrows, and material grade.

•      Safety & Claims: Tools for documenting safe loading patterns, generating safety reports, capturing photo evidence, and submitting and tracking claims related to loads, materials, equipment, or trailers/containers.

•      Track & Document Loads: Tools to photograph loads, capture loader and driver information, attach paperwork (scale tickets, Bills of Lading, etc.), and generate consolidated load documentation.

•      Logistics: Load tracking and status visualization across locations, vessels, trucks, and trailers, including performance dashboards and summaries.

•      Future Features: We may add, modify, or remove features over time. New features are governed by these Terms unless separate terms are presented at the time of release.

3. User Accounts and Registration

3.1. You may be required to create an account to access certain features of the Services.

3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3. You must provide accurate, current, and complete information during registration and keep your account information updated.

3.4. Age Requirements: You must be at least 18 years old to use the Services, or the age of majority in your jurisdiction, whichever is higher.

3.5. Business Users: If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

4. Permitted Use

4.1. The Services are intended for commercial and industrial use in the recycling, paper products, cardboard manufacturing, and freight logistics industries for quality control, material assessment, safety documentation, claims management, and operational tracking purposes.

4.2. You may use the Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

4.3. You agree not to:

•      Use the Services for any unlawful purpose or in violation of any applicable laws

•      Attempt to reverse engineer, decompile, or disassemble the App or Services

•      Interfere with or disrupt the Services' functionality or servers

•      Submit false, misleading, or fraudulent claims, photos, signatures, attestations, or load documentation through the Services

•      Use the Services to collect data about other users without consent

•      Use automated systems to access the Services without permission

•      Violate any export control laws or regulations

5. AI-Powered Measurements and Material Inspection

5.1. Important Disclaimer: The measurements provided by the Services are estimates generated by artificial intelligence algorithms. While we strive for accuracy, the Services' measurements should not be considered definitive or replace professional testing equipment or certified laboratory analysis.

5.2. Measurement accuracy may be affected by:

•      Device sensor limitations and calibration

•      Environmental conditions (lighting, temperature, humidity)

•      Material variations and contamination

•      User technique and positioning

•      Network connectivity and processing delays

5.3. You acknowledge that the Services' measurements are for guidance and preliminary assessment purposes only and should be verified using appropriate professional equipment and certified testing methods for critical applications, regulatory compliance, or commercial transactions.

5.4. We do not guarantee the accuracy, completeness, reliability, or fitness for any particular purpose of any measurements or analysis provided by the Services.

5.5. AI Pattern Recognition: Where the Services use AI to recognize loading patterns, material grades, or photo classifications, those results are advisory only. Human review and accountability remain the primary control.

6. Safety & Claims Feature

6.1. Important Safety Disclaimer: The Safety features of the Services are tools for documenting loading patterns, generating reports, and capturing photographic evidence. They are NOT a substitute for compliance with applicable safety laws, Department of Transportation (DOT) regulations, Occupational Safety and Health Administration (OSHA) requirements, carrier safety policies, manufacturer guidelines, or your own organization's safety protocols.

6.2. User Responsibility for Safety: You are solely responsible for:

•      Ensuring that loading practices comply with all applicable laws, regulations, and industry standards

•      Verifying that trailers, containers, and equipment are safe for use prior to loading or transport

•      Following manufacturer specifications, weight limits, and load-securement requirements

•      Providing appropriate training and supervision for personnel involved in loading and transport

•      Conducting independent safety inspections and assessments

6.3. Safe Loading Patterns: Reference patterns displayed in the Services are illustrative guides only. They do not guarantee compliance with any specific regulation, contract, or safety standard. You remain responsible for confirming that any loading method meets the requirements applicable to your operation.

6.4. Loader Self-Attestation: Where the Services collect self-attestations from loaders or operators (including selecting a loading pattern, confirming photo accuracy, or signing off on a load), those attestations are made by the individual user. PPI Measure does not independently verify the truthfulness or accuracy of user attestations and bears no responsibility for false or inaccurate attestations.

6.5. Claims Submission: The claims feature allows you to document and submit claims relating to load contamination, damaged trailers or containers, non-compliant material, unsafe loading, or other incidents. You acknowledge and agree that:

•      PPI Measure provides a tool for documenting and routing claims. PPI Measure is not a party to the underlying transaction, dispute, or business relationship between you and any supplier, customer, carrier, or other third party.

•      PPI Measure does not adjudicate, arbitrate, mediate, settle, or guarantee any outcome of any claim submitted through the Services.

•      You are responsible for the accuracy, completeness, and truthfulness of all claims, photos, descriptions, and supporting documentation you submit.

•      Submitting false, misleading, or fraudulent claims may result in account suspension, termination, and potential legal action by affected parties.

•      Claims data may be shared with relevant counterparties (e.g., suppliers, carriers, customers, insurers) for the purpose of resolving the claim. See our Privacy Policy for details.

•      PPI Measure makes no warranty regarding the timeliness, response, or resolution of any claim by any third party.

7. Track & Document Loads Feature

7.1. The Track & Document Loads feature allows you to capture photographs and information about loads, including (without limitation) load contents, loader and driver identification, scale tickets, Bills of Lading, trailer or container numbers, and other paperwork.

7.2. Accuracy of Documentation: You are responsible for the accuracy, completeness, and authenticity of all photos, paperwork, and information you submit through this feature. PPI Measure does not independently verify load contents, paperwork, or identifying information.

7.3. Generated Reports: Load reports generated by the Services compile user-submitted information and AI-generated estimates. Generated reports are not certified weights, official customs documents, or legal records, and should not be used as a substitute for such documents where they are required.

7.4. Third-Party Reliance: If you share Services-generated reports with third parties (e.g., customers, suppliers, brokers, or government agencies), you do so at your own risk. PPI Measure is not responsible for any third party's reliance on or use of Services-generated content.

8. Logistics Feature

8.1. The Logistics feature provides load tracking, status visualization, performance dashboards, and operational summaries across locations, vessels, trucks, and trailers.

8.2. Tracking Accuracy: Logistics data is derived from a combination of user inputs, third-party data feeds, GPS or other location data, and estimated calculations. Delays, errors, omissions, or interruptions in tracking data may occur due to network conditions, third-party service availability, device limitations, or user input quality.

8.3. Operational Decisions: You are solely responsible for any operational, financial, or commercial decisions made based on Logistics data, including but not limited to dispatching, routing, billing, customer communication, and inventory management.

8.4. Status Indicators: Performance and status indicators (e.g., green/yellow/orange color coding, "ordered more than 24 hours ago" flags) are heuristic indicators based on time, target values, and other inputs. They are not authoritative determinations of compliance, performance, or service quality.

9. Data Collection, Privacy, and Cross-Border Transfers

9.1. The Services collect measurement data, photographs, claim records, load documentation, logistics data (including location data), usage statistics, device information, and personal information to provide the Services, improve AI algorithms, and support customer operations.

9.2. Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference and complies with applicable privacy laws including the California Consumer Privacy Act (CCPA), the Washington My Health My Data Act, the Oregon Consumer Privacy Act, PIPEDA (Canada), Indonesia's Personal Data Protection Law, and Malaysia's Personal Data Protection Act.

9.3. Cross-Border Data Transfers: By using the Services, you consent to the transfer and processing of your data across international borders, including to servers located in different countries, in accordance with applicable data protection laws.

9.4. You retain ownership of any data you input into the Services, but grant us a worldwide, royalty-free license to use aggregated, anonymized data for improving our Services and developing industry insights.

9.5. Photographs and Identifying Information: When you submit photographs, you represent that you have the right to do so and that you have obtained any necessary consents from individuals whose images, names, signatures, or identifying information appear in such photographs (including loaders, drivers, and other personnel).

9.6. Data Retention: We retain your data in accordance with our Privacy Policy and applicable legal requirements. Claims-related records and load documentation may be retained for extended periods to support potential disputes, audits, or regulatory requirements.

10. Consumer Rights, Subscriptions, and Cancellation

10.1. Canadian Users: You may have additional rights under Canadian consumer protection laws. If you are a Canadian consumer, these Terms do not limit any rights you may have under applicable provincial or federal consumer protection legislation.

10.2. Indonesian Users: In accordance with Indonesian consumer protection laws, you have the right to obtain clear and honest information about the Services.

10.3. Malaysian Users: You may have rights under the Malaysian Consumer Protection Act that cannot be excluded by these Terms.

10.4. Subscriptions, Cancellation, and Refunds: Subscription terms, billing cycles, cancellation procedures, and refund eligibility are described at the point of purchase and within your account settings. You may cancel a subscription at any time through your account settings or by contacting info@ppimeasure.com. Cancellation will take effect at the end of the then-current billing period unless otherwise required by applicable consumer protection law. Refunds, where applicable, are issued in accordance with the consumer protection laws of your jurisdiction.

11. Intellectual Property

11.1. The Services, including AI algorithms, software, design, content, and trademarks, are protected by copyright, trademark, patent, and other intellectual property laws.

11.2. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

11.3. You may not copy, modify, distribute, sell, or create derivative works based on the Services without our express written permission.

11.4. Any feedback, suggestions, or improvements you provide may be used by us without compensation or attribution.

12. Limitation of Liability

12.1. IMPORTANT LIMITATION: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, PRODUCTION LOSSES, BUSINESS INTERRUPTION, EQUIPMENT DAMAGE, PROPERTY DAMAGE, BODILY INJURY, OR LOSSES ARISING FROM OPERATIONAL DECISIONS, CLAIMS OUTCOMES, OR THIRD-PARTY ACTIONS.

12.2. Our total liability for any claims relating to the Services shall not exceed the amount you paid for the Services in the twelve months preceding the claim, or $100 USD, whichever is greater.

12.3. We are not liable for any business decisions made based on Services measurements, safety documentation, loading recommendations, logistics data, claims outcomes, or third-party integrations.

12.4. Safety and Damage: We are not liable for any bodily injury, equipment damage, trailer or container damage, cargo damage, or property damage arising from loading, transport, or other operational activities, regardless of whether the Services were used to document, assess, or guide those activities.

12.5. Jurisdictional Variations: Some jurisdictions do not allow limitation of liability for certain types of damages. In such cases, our liability is limited to the maximum extent permitted by applicable law.

13. Warranty Disclaimer

13.1. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

13.2. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and compliance with industry standards.

13.3. We do not warrant that the Services will be uninterrupted, error-free, secure, or meet your specific requirements or industry standards.

13.4. Statutory Rights: Nothing in these Terms excludes or limits any statutory rights that cannot be excluded or limited under applicable law.

14. Industrial Use, Safety, and Compliance

14.1. When using the Services in industrial settings, you are responsible for following all applicable safety protocols, environmental regulations, and industry standards.

14.2. The Services are not intended to replace safety equipment, professional judgment, or regulatory compliance testing in industrial environments.

14.3. You acknowledge that recycling, paper processing, freight loading, and transport operations involve inherent risks that the Services cannot mitigate.

14.4. Regulatory Compliance: You are responsible for ensuring your use of the Services complies with all applicable industry regulations, quality standards, transportation regulations, certification requirements, and contractual obligations in your jurisdiction.

15. Accessibility

15.1. We strive to make our Services accessible to users with disabilities in accordance with applicable accessibility laws and standards.

16. Updates and Modifications

16.1. We may update the Services from time to time to improve functionality, fix bugs, enhance AI algorithms, add or remove features, or ensure legal compliance.

16.2. We reserve the right to modify these Terms at any time. Material changes will be communicated through the Services or by email, with at least 30 days' notice where required by law. You may be required to re-accept these Terms after a material change.

16.3. Continued use of the Services after changes constitutes acceptance of the modified Terms.

17. Termination and Suspension

17.1. You may stop using the Services at any time by deleting the App and closing your account.

17.2. We may terminate or suspend your access to the Services immediately if you violate these Terms or applicable laws, or if you submit false, fraudulent, or misleading information through the Services.

17.3. We may terminate the Services with reasonable notice as required by applicable consumer protection laws.

17.4. Upon termination, your right to use the Services ceases immediately, and we may delete your account and data in accordance with our Privacy Policy.

18. Third-Party Services and Integrations

18.1. The Services may integrate with third-party services, contain links to third-party websites, or include third-party content (including mapping, location, vessel-tracking, or carrier data).

18.2. We are not responsible for the content, privacy policies, security, accuracy, or practices of third-party services.

18.3. Your use of third-party services is subject to their respective terms and conditions.

19. Export Controls and International Trade

19.1. The Services may be subject to export control laws and regulations of various countries, including the United States, Canada, Indonesia, and Malaysia.

19.2. You agree to comply with all applicable export control laws and not to export, re-export, or transfer the Services in violation of such laws.

19.3. You represent that you are not located in, or a national of, any country subject to government embargo or trade restrictions.

20. Force Majeure

20.1. Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or pandemics.

21. Governing Law and Dispute Resolution

21.1. Governing Law:

•      For users in the United States: These Terms are governed by the laws of New Mexico, United States

•      For users in Canada: These Terms are governed by the laws of British Columbia and federal laws of Canada

•      For users in Indonesia: These Terms are governed by the laws of Indonesia

•      For users in Malaysia: These Terms are governed by the laws of Malaysia

•      For users in other jurisdictions: These Terms are governed by the laws of New Mexico, United States

21.2. Dispute Resolution:

•      Mediation First: Parties agree to attempt good faith mediation before pursuing other remedies

•      Arbitration: Disputes that cannot be resolved through mediation shall be resolved through binding arbitration, except where prohibited by law or for claims of intellectual property infringement

•      Class Action Waiver: Where permitted by law, you waive the right to participate in class action lawsuits

•      Consumer Protection: Nothing in this section limits rights you may have under applicable consumer protection laws

21.3. Jurisdiction-Specific Courts: Where arbitration is not permitted or enforceable, disputes shall be resolved in the courts of competent jurisdiction in your location.

21.4. Claims Between Users and Third Parties: Disputes between you and any supplier, customer, carrier, or other third party are not subject to this section and shall be resolved between those parties under whatever agreements or applicable laws govern that relationship.

22. Language and Translation

22.1. These Terms are originally written in English. Any translations are provided for convenience only.

22.2. In case of conflict between the English version and any translation, the English version shall prevail, unless prohibited by local law.

23. Severability and Waiver

23.1. If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

23.2. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

24. Entire Agreement

24.1. These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and us regarding the Services.

24.2. These Terms supersede all prior agreements, understandings, and communications relating to the subject matter herein.
